Job Title: Corporate Paralegal

Location: Abu Dhabi – Emiratisation Role

We are seeking a Corporate Paralegal to support the Investment Legal team in managing corporate governance and investment related matters. This role is essential for ensuring the fund’s compliance with regulatory requirements and to facilitate efficient legal operations, thereby supporting the fund’s investment activities.

Key Responsibilities:

• Assist in preparing and maintain corporate records, board resolutions, and governance documents across subsidiaries in compliance with UAE and Free Zone requirements. 
• Assist with the formation, structuring and ongoing management of subsidiaries used for investments.
• Support the Investment Legal team and the business team by reviewing, negotiating and maintaining a record of:  NDAs, NRLs, corporate documentation, memos and letters of advice and other documentation as may be required across all asset classes.
• Assist in the preparation of legal due diligence reports for potential investments.
• Work closely with Investment Legal Counselors and the Head of Investment Legal as well as the business teams on transactions, assisting with the review and/or preparation of investment-related documents across asset classes (including private equity, real estate, infrastructure and public markets).
• Liaise with external law firms, assisting with closing transactions within deadlines. 
• Flag regulatory issues on investments (high level ‘issue spotting’). Seek appropriate advice (internally, in the first instance, and externally) on the issues raised.
• Capture legal know-how in the internal Library.
• Conduct research on legal and regulatory frameworks relevant to the operations and investments of the fund.

Requirements:

• Law degree coupled with a strong academic background
• 2 to 3 years of experience either in private practice or in-house
• Corporate governance experience with an interest in learning about investment funds
• Comfortable working in an international environment Fluent in English
