Managing Associate – Corporate / M&A
Location: GCC-based firm (remote working arrangement with regional travel as required, must be based in UAE)
Experience: 6–8 years
Qualification: UK / US / Commonwealth qualified
The Role
Seeking a technically strong and commercially minded Senior/Managing Associate to join the corporate team. The successful candidate will play a key role in drafting and negotiating corporate documentation, advising on governance matters, and supporting high-value transactional work with a high level of autonomy.
This is a substantive transactional position offering significant drafting responsibility, client exposure, and strategic input.
Key Responsibilities
- Lead drafting and negotiation of key transaction documents, including share purchase agreements, shareholder agreements, and related investment documentation.
- Prepare complex first drafts independently with minimal supervision.
- Advise on corporate governance frameworks, control mechanisms, and minority protections.
- Support cross-border transactions involving regional and international stakeholders.
- Supervise and mentor junior lawyers as appropriate.
Candidate Profile
The ideal candidate will demonstrate strong technical drafting capability and the ability to operate confidently within a fast-paced transactional environment.
- 6–8 years’ post-qualification experience.
- Qualified in England & Wales, the United States, or another recognised common law jurisdiction.
- Strong private M&A and joint venture experience.
- Proven ability to draft complex agreements independently.
- Excellent written English and precise drafting style.
- Commercially astute with strong client-facing skills.
- Regional experience advantageous but not essential.
