Job Overview:
We are seeking an experienced and dynamic Head of Legal with a strong corporate/commercial background and M&A transactional experience to lead our legal function. The ideal candidate will have 15+ years of legal experience, preferably gained in a top-tier law firm and/or in-house legal department of a multinational corporation. This role will provide strategic legal guidance to senior management, oversee complex transactions, and ensure legal compliance across all business operations.
Key Responsibilities:
Corporate & Commercial Legal Leadership
- Provide expert legal advice on corporate, commercial, and regulatory matters affecting the company.
- Draft, review, and negotiate high-value commercial agreements, including joint ventures, partnerships, and strategic alliances.
- Develop and implement company-wide legal policies, ensuring alignment with business objectives.
- Support corporate governance, board resolutions, and shareholder-related matters.
Mergers & Acquisitions (M&A) and Transactions
- Lead and oversee all M&A transactions, including due diligence, structuring, negotiation, and post-acquisition integration.
- Advise on corporate restructuring, capital investments, and other strategic initiatives.
- Work closely with external counsel, financial advisors, and senior stakeholders on complex transactions.
Regulatory & Compliance Oversight
- Ensure compliance with local and international laws, including corporate governance, data protection, and competition regulations.
- Monitor changes in laws and regulations, advising leadership on potential impacts to the business.
- Develop internal compliance programs and provide training to key stakeholders.
Risk Management & Dispute Resolution
- Identify and mitigate legal risks associated with business operations and strategic projects.
- Manage and resolve disputes, litigation, and arbitration matters, working closely with external counsel where necessary.
- Oversee internal investigations and regulatory inquiries.
Leadership & Stakeholder Management
- Lead and mentor the legal team, fostering a culture of excellence and continuous development.
- Collaborate with business units to align legal strategies with commercial objectives.
- Serve as a key advisor to senior executives on legal and strategic business matters.
Qualifications & Experience:
- 15+ years of legal experience, with a strong corporate/commercial and M&A transactional background.
- Qualified lawyer with a law degree (LLB, JD, or equivalent) and admission to a recognized bar association.
- Experience in a top-tier law firm and/or multinational corporate legal department.
- Strong knowledge of corporate governance, M&A, commercial contracts, and regulatory frameworks.
- Proven ability to lead negotiations, manage complex transactions, and handle high-stakes legal matters.
- Excellent communication, leadership, and stakeholder management skills.
