We are seeking an experienced Legal Counsel to provide senior legal advisory support across the organisation, with direct exposure to the CEO, senior leadership and Board of Directors. This is a high impact role responsible for safeguarding the organisation’s legal interests while providing strategic guidance on corporate governance, contracts, regulatory matters, legal risk and organisational policies.

The successful candidate will bring significant UAE legal experience and the confidence to operate at senior leadership and Board level, providing clear, commercially minded and actionable legal advice on complex and sensitive matters.

Key Responsibilities

• Provide strategic legal advice to the CEO, senior leadership and Board of Directors on complex legal, regulatory, governance and operational matters.
• Draft, review and advise on governance documentation, including policies, SOPs, Delegations of Authority (DOAs), management resolutions and Board documentation.
• Lead the drafting, review and negotiation of a broad range of commercial and strategic agreements, including leases, MOUs, partnership agreements, service agreements and international arrangements.
• Conduct comprehensive legal risk assessments, identifying potential exposure and recommending appropriate mitigation strategies.
• Review documentation submitted for CEO and Board approval, ensuring full alignment with legal requirements, organisational policies and DOA protocols.
• Provide strategic legal input into organisational policies, procedures and long-term legal and governance frameworks.
• Liaise with relevant UAE government authorities and regulatory bodies, including the Dubai Land Department, MOFA and Supreme Legislation Committee.
• Ensure internal and external documentation complies with applicable UAE laws, regulations and governance standards.
• Support senior management in navigating complex legal issues and making informed strategic decisions.
• Maintain the highest standards of confidentiality, professional ethics and legal integrity.

About You

• Bachelor’s degree in Law is essential. Master’s degree in International Law is highly desirable.
• Fluent Arabic and English, both written and spoken, is essential.
• Minimum 10 years’ senior legal advisory experience within the UAE ideally gained within an international organisation, government entity, non-profit organisation or similarly complex environment.
• Strong experience advising C-suite executives, senior leadership and/or Boards. Able to build trusted relationships across the organisation and work effectively with internal and external stakeholders.
• Extensive knowledge of UAE laws and regulatory frameworks with particular expertise across corporate governance, contract law, compliance and legal risk management.
• Proven expertise in corporate governance, contracts, compliance and legal risk management.
• Experience drafting, reviewing and negotiating complex commercial, partnership and international agreements.
• Experience dealing with UAE government authorities and regulatory bodies.
• Exceptional legal drafting, analytical and problem-solving skills.
• Strong integrity, discretion and the ability to manage highly confidential and sensitive matters.
