The Role

Seeking a technically strong and commercially minded Senior/Managing Associate Lawyer to join the corporate team. The successful candidate will play a key role in drafting and negotiating corporate documentation, advising on governance matters, and supporting high-value transactional work with a high level of autonomy.

This is a substantive transactional position offering significant drafting responsibility, client exposure, and strategic input.

Key Responsibilities

• Lead drafting and negotiation of key transaction documents, including share purchase agreements, shareholder agreements, and related investment documentation.
• Prepare complex first drafts independently with minimal supervision.
• Advise on corporate governance frameworks, control mechanisms, and minority protections.
• Support cross-border transactions involving regional and international stakeholders.
• Supervise and mentor junior lawyers as appropriate.

Candidate Profile

The ideal candidate will demonstrate strong technical drafting capability and the ability to operate confidently within a fast-paced transactional environment.

• 6–8 years’ post-qualification experience.
• Qualified in England & Wales, the United States, or another recognised common law jurisdiction.
• Strong private M&A and joint venture experience.
• Proven ability to draft complex agreements independently.
• Excellent written English and precise drafting style.
• Commercially astute with strong client-facing skills.
• Regional experience advantageous but not essential.
